1. Acceptance of Terms

  • Using our branding, trademarks, or other intellectual property without prior written authorization.

4.2 Order-Specific Obligations

  • You agree to provide a valid delivery address or pickup location when placing an order;
  • You agree to be present at the designated delivery address or to have an authorized representative available at the time of delivery;
  • You agree not to place fraudulent orders or chargebacks without legitimate basis;
  • You agree that any order placed through the Site constitutes an offer to purchase and is subject to our acceptance and confirmation.

Violation of any of the above prohibitions may result in immediate termination of your account and access to our Services, and may expose you to civil or criminal liability under applicable law, including but not limited to the Computer Fraud and Abuse Act (18 U.S.C. § 1030) and other federal and state statutes.

5. Intellectual Property Rights

All content on the Site, including but not limited to text, graphics, logos, photographs, images, audio clips, digital downloads, data compilations, software, and all other material (collectively, "Content"), is the exclusive property of Pizza Factory or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Pizza Factory name, logo, and all related names, logos, product and service names, designs, and slogans are registered or unregistered trademarks of Pizza Factory. You may not use such marks without the prior written permission of Pizza Factory. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial use to browse the Site and place orders. This license does not include:

  • Any resale or commercial use of the Site or its Content;
  • Any collection and use of any product listings, descriptions, or prices;
  • Any derivative use of the Site or its Content;
  • Any downloading or copying of account information for the benefit of another merchant;
  • Any use of data mining, robots, or similar data gathering and extraction tools.

6. Payment Terms

By placing an order through the Site, you agree to pay all charges incurred by you or any users of your account, including the cost of menu items, applicable taxes, delivery fees, service fees, and any other applicable charges, at the prices in effect when such charges are incurred.

6.1 Accepted Payment Methods

We currently accept the following forms of payment: major credit cards (Visa, MasterCard, American Express, Discover), debit cards, and any other payment methods we may introduce from time to time. All transactions are processed in United States Dollars (USD).

6.2 Pricing and Taxes

All prices displayed on the Site are in USD and are exclusive of applicable taxes unless otherwise stated. You are responsible for all applicable federal, state, and local taxes on your purchases. Prices are subject to change without notice. The price charged for an order will be the price in effect at the time the order is placed.

6.3 Payment Security

We use industry-standard encryption and security measures to protect your payment information. However, no method of transmission over the Internet or electronic storage is 100% secure. We are not responsible for unauthorized access to your payment information except to the extent required by applicable law.

6.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been confirmed and preparation has commenced. If you experience an issue with your order, such as receiving incorrect items or a quality concern, please contact us within a reasonable time of receiving your order at [email protected]. We will evaluate each situation on a case-by-case basis and may, at our sole discretion, offer a refund, credit, or replacement. Any refunds will be processed to the original method of payment within a reasonable timeframe.

6.5 Chargebacks

If you initiate a chargeback or dispute with your credit card issuer without first contacting us to attempt to resolve the issue, we reserve the right to suspend or terminate your account. We may also contest any chargeback we believe to be unwarranted.

7. Delivery and Pickup

Delivery and pickup times provided are estimates only and are not guaranteed. Actual delivery times may vary based on weather conditions, traffic, order volume, and other factors beyond our control. Pizza Factory shall not be liable for any delay in delivery.

We reserve the right to limit delivery zones and service areas at any time without notice. Orders placed for delivery outside our service area may be cancelled, and you will be notified accordingly.

Risk of loss and title to ordered items passes to you upon delivery to the address you specified or upon pickup at our designated location.

8. Disclaimers and "As-Is" Basis

THE SITE AND ALL SERVICES, CONTENT, AND MATERIALS PROVIDED BY PIZZA FACTORY ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW.

PIZZA FACTORY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, TIMELINESS, OR COMPLETENESS OF ANY CONTENT OR INFORMATION ON THE SITE;
  • WARRANTIES THAT ANY DEFECTS WILL BE CORRECTED;
  • WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE OR SERVICES.

Pizza Factory does not warrant that the Site or its servers are free of viruses or other harmful components. Some jurisdictions do not allow the exclusion of certain warranties; in such cases, those exclusions apply to the maximum extent permitted by law.

Allergen and Dietary Information: While we make reasonable efforts to provide accurate allergen and nutritional information, we cannot guarantee that our food items are free from allergens due to the shared preparation environment in our kitchens. If you have a food allergy or dietary restriction, please contact us directly before placing your order. Pizza Factory shall not be liable for any adverse reactions resulting from consumption of our products where you have failed to disclose a known allergy or dietary restriction.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE FEDERAL TRADE COMMISSION ACT AND APPLICABLE STATE CONSUMER PROTECTION LAWS, IN NO EVENT SHALL PIZZA FACTORY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, SUBCONTRACTORS, SUPPLIERS, OR SUCCESSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
  • DAMAGES ARISING FROM YOUR INABILITY TO ACCESS OR USE THE SITE OR SERVICES;
  • DAMAGES ARISING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE;
  • DAMAGES ARISING FROM ANY FOOD PRODUCTS ORDERED THROUGH THE SITE, BEYOND THE AMOUNT PAID FOR THOSE PRODUCTS;
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.

IN ANY CASE, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO PIZZA FACTORY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

10. Indemnification

You agree to defend, indemnify, and hold harmless Pizza Factory and its officers, directors, employees, agents, licensors, service providers, subcontractors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your use of the Site or Services;
  • Your violation of any applicable law or regulation;
  • Your violation of any rights of a third party, including intellectual property rights or privacy rights;
  • Any content or information you submit, post, or transmit through the Site;
  • Any fraudulent, negligent, or wrongful conduct by you.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

Our Site may contain links to third-party websites, services, or applications that are not owned or controlled by Pizza Factory. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. We strongly advise you to review the terms of service and privacy policy of any third-party site you visit.

If you use third-party delivery platforms or food ordering aggregators to place orders at Pizza Factory, those platforms' separate terms of service and privacy policies will also apply to your use of those services. Pizza Factory is not responsible for any acts or omissions of third-party platforms.

12. Privacy Policy

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy. Our privacy practices comply with applicable United States federal and state privacy laws, including the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), where applicable, as well as the FTC Act requirements regarding unfair or deceptive practices.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Pizza Factory principally operates, without regard to any conflict of law provisions.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal or state courts of competent jurisdiction in the United States. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Nothing in this section shall limit our right to seek injunctive or other equitable relief in any court of competent jurisdiction where necessary to protect our intellectual property rights or other proprietary interests.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact Pizza Factory in writing at [email protected] and provide a detailed description of the dispute, your name, contact information, and the relief you seek. We will attempt to resolve any dispute informally within thirty (30) days of receiving your notice. If the dispute cannot be resolved informally within that period, either party may pursue formal dispute resolution as described below.

14.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except as set forth below, if we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or our Services — including the determination of the scope or applicability of this agreement to arbitrate — shall be settled by binding arbitration administered by a recognized arbitration organization under its then-current rules.

The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The parties agree that any arbitration shall be conducted on an individual basis only and not as a class, consolidated, or representative action.

14.3 Class Action Waiver

YOU AND PIZZA FACTORY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. If this class action waiver is found unenforceable, then the entire arbitration section shall be null and void.

14.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm, protect intellectual property rights, or enforce payment obligations. Small claims court actions may also be filed without prior arbitration where eligible under applicable small claims court rules.

15. Term and Termination

These Terms are effective as of the date you first access or use the Site and shall remain in full force and effect for as long as you continue to use the Site or Services.

We reserve the right to terminate or suspend your access to the Site and Services, in whole or in part, immediately and without notice, for any reason, including if:

  • You breach any provision of these Terms;
  • We are required to do so by law or a regulatory authority;
  • We elect to discontinue the Site or Services;
  • We believe your account has been compromised or used fraudulently;
  • You engage in any conduct that we deem harmful to Pizza Factory, other users, or third parties.

Provisions of these Terms that by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.

All Promotions are subject to their own specific terms and conditions, which will be communicated at the time of the offer. Promotions cannot be combined unless expressly stated. Loyalty points, rewards, or credits have no cash value, are non-transferable, and may expire as indicated in the applicable program terms. Fraudulent accumulation of loyalty points or rewards may result in forfeiture of all accumulated benefits and termination of your account.

18. Force Majeure

Pizza Factory shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government orders or restrictions, labor disputes, supply chain disruptions, power outages, internet or telecommunications failures, civil unrest, or any other cause beyond our reasonable control ("Force Majeure Event").

In the event of a Force Majeure Event, we will use commercially reasonable efforts to resume performance as soon as practicable. You acknowledge that in such circumstances, orders may be delayed, modified, or cancelled without liability to Pizza Factory.

19. Electronic Communications

By using our Site or providing us with your email address or phone number, you consent to receive electronic communications from Pizza Factory, including order confirmations, receipts, customer service communications, and, where you have opted in, promotional messages. You agree that any notices, agreements, disclosures, or other communications we send to you electronically satisfy any legal requirement that such communications be in writing.

If you wish to opt out of marketing communications, you may do so at any time by following the unsubscribe instructions included in such communications or by contacting us at [email protected]. Please note that even if you opt out of marketing communications, we may still send you transactional communications related to your orders and account.

20. Feedback and User Content

If you submit feedback, reviews, suggestions, ideas, comments, or other content to Pizza Factory through the Site or any other channel, you grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media. You represent and warrant that you own or have the necessary rights to submit such content and that it does not violate any third-party rights or applicable law.

We reserve the right to remove any user-submitted content at our sole discretion, without notice, for any reason, including if we determine it violates these Terms, is offensive, or is otherwise inappropriate.

21. Severability

If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, it shall be deleted, and the remaining provisions of these Terms shall continue in full force and effect.

No waiver by Pizza Factory of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

22. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Site, constitute the entire agreement between you and Pizza Factory with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties — both written and oral — with respect to the Site and Services.

These Terms do not, and shall not be construed to, create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between you and Pizza Factory.

23. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder, by operation of law or otherwise, without the prior written consent of Pizza Factory. We may freely assign or transfer these Terms, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, without restriction and without notice to you. Any purported assignment in violation of this section shall be void.

You agree to comply with all applicable federal, state, and local laws and regulations in connection with your use of the Site and Services, including but not limited to the laws of the United States governing online conduct, consumer protection, data privacy (including the CCPA/CPRA where applicable), and the rules and regulations promulgated by the Federal Trade Commission (FTC) under the FTC Act (15 U.S.C. § 41 et seq.).
